15) Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, RELIABILITY, AVAILABILITY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT DEFECTS WILL BE CORRECTED.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SITE SHALL NOT EXCEED USD $100 OR THE AMOUNT YOU PAID TO US (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER. You agree to defend, indemnify, and hold harmless Augury Times and its owner/operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

We may update the Site and these Terms at any time. Material changes will be indicated by updating the “Effective date” above. The updated Terms are effective when posted. Your continued use of the Site means you accept the changes.

19) Suspension/Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or for any reason. Upon termination, sections that by their nature should survive (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive.

20) Governing Law & Venue

These Terms are governed by the laws of the State of South Carolina, without regard to its conflicts-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Charleston County, South Carolina for any dispute arising out of or relating to these Terms or the Site.

21) Export & Sanctions Compliance

You may not use the Site if you are subject to U.S. sanctions or other export restrictions, or for any purpose prohibited by U.S. export control laws.

22) Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, sale, or transfer of assets, or by operation of law.

23) Severability; Waiver; Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a right is not a waiver. These Terms constitute the entire agreement between you and us regarding the Site and supersede any prior or contemporaneous understandings.
